These Platform Terms of Service (“Agreement”) govern the relationship between STAMPEDE AI PTE. LTD. (UEN: 202611946M) (“STAMPEDE”, “we”, “us”) and the business entity subscribing to our platform (“Brand”, “you”, “your”). By creating an account and subscribing to STAMPEDE, you agree to this Agreement.

1. Service Description

STAMPEDE provides a white-label loyalty and growth platform as a Software-as-a-Service (SaaS). The platform includes: digital stamp cards, referral systems, coupon management, QR code generation, print kit tools, customer analytics, staff management, activity monitoring, and fraud detection.

All features are available on every subscription plan. Plans differ by outlet count and usage volume, not features.

2. Subscription and Billing

2.1 Plans and Pricing

  • Subscription fees are billed monthly via Stripe
  • Current pricing is published on stampede.sg and may be updated with 30 days' notice
  • All prices are charged in the currency applicable to your region as specified during signup, exclusive of any applicable taxes unless stated otherwise

2.2 Payment Terms

  • Payment is due at the start of each billing cycle
  • Failed payments will be retried according to Stripe's retry schedule
  • A 7-day grace period is provided for failed payments before service degradation
  • After the grace period, the Brand's loyalty program will enter read-only mode (customers can view but not earn stamps or redeem rewards) until payment is resolved

2.3 Cancellation

  • You may cancel your subscription at any time through the admin dashboard or by contacting us
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods
  • Upon cancellation, your data will be retained for 90 days, during which you may reactivate or request data export. After 90 days, data will be anonymized.

3. Data Ownership and Usage

3.1 Your Data

  • You retain ownership of your brand assets (logo, name, colors, reward descriptions)
  • You retain ownership of your customer relationship — STAMPEDE facilitates, not replaces, your relationship with your customers

3.2 Customer Data

  • Customer data collected through your loyalty program is jointly controlled by you (for your program purposes) and STAMPEDE (for platform purposes)
  • You may access and use customer data within your program for loyalty operations and marketing (subject to customer consent and applicable data protection laws)
  • You may NOT export bulk customer data for use outside the STAMPEDE platform without customer consent
  • You may NOT sell, share, or transfer customer data to third parties

3.3 Platform Data Rights

  • STAMPEDE retains the right to use anonymized and aggregated data from all Brands for platform improvement, analytics, benchmarking, and business development
  • STAMPEDE retains the right to use customer data for platform-level features including but not limited to: multi-brand loyalty wallets, deals discovery, cross-brand campaigns, and personalized recommendations
  • STAMPEDE will not share identifiable customer data from your program with competing Brands
  • These platform data rights survive termination of your subscription

4. Brand Responsibilities

  • You are responsible for the accuracy of your brand information, reward descriptions, and program configuration
  • You are responsible for fulfilling all rewards and coupons issued to customers through your program
  • You are responsible for your staff's use of the platform, including stamp issuance and coupon claims
  • You agree to use the platform in compliance with all applicable laws in your jurisdiction, including data protection laws, consumer protection laws, and any industry-specific regulations applicable to your business
  • You agree not to use the platform for any unlawful, fraudulent, or deceptive purposes
  • Email campaigns sent through STAMPEDE must comply with applicable anti-spam laws (including Singapore's Spam Control Act). Brands are responsible for ensuring their email content is lawful and not misleading
  • STAMPEDE provides unsubscribe functionality on all customer emails. Brands must not attempt to circumvent or remove unsubscribe links

5. STAMPEDE Responsibilities

5.1 Service Availability

  • We aim to maintain 99.5% platform uptime, excluding scheduled maintenance
  • Scheduled maintenance will be communicated at least 24 hours in advance where possible
  • We are not liable for downtime caused by third-party services (Supabase, Vercel, Twilio, Stripe), force majeure, or your own actions

5.2 Support

  • Support is provided via email at hello@stampede.sg
  • We aim to respond to support requests within 24 hours on business days
  • Critical issues (platform outage, data breach) will be prioritized

5.3 Data Protection

  • We implement reasonable security measures to protect data as described in our Privacy Policy
  • We will notify you within 72 hours of discovering any data breach that affects your customers' personal data, as required by applicable data protection laws

6. Platform-Level Customer Communications

By using the STAMPEDE platform, you acknowledge and agree that STAMPEDE AI PTE. LTD. may send communications directly to your loyalty customers on behalf of the STAMPEDE platform. These communications:

  • are sent only to customers who have opted into WhatsApp notifications through your brand;
  • are platform-level messages unrelated to your specific brand campaigns;
  • will not be charged to your account — STAMPEDE bears all associated costs;
  • will not appear in your brand's campaign reports or marketing dashboard;
  • comply with Meta's WhatsApp Business messaging policies and applicable data protection laws.

STAMPEDE will not use your customers' data for any purpose other than operating and improving the loyalty platform. Your customer data remains yours — STAMPEDE does not sell or license it to third parties.

7. Intellectual Property

  • STAMPEDE retains all intellectual property rights in the platform, including software, design, and technology
  • Your use of the platform grants you a non-exclusive, non-transferable license to use the service during your subscription
  • “Powered by STAMPEDE” branding may appear on customer-facing pages and communications — this is a platform requirement and cannot be removed
  • Custom domain mapping is available on eligible plans — the Brand's domain points to STAMPEDE-hosted pages

8. Limitation of Liability

  • STAMPEDE's total aggregate liability under this Agreement shall not exceed the total subscription fees paid by you in the 12 months preceding the claim
  • STAMPEDE is not liable for indirect, incidental, consequential, or punitive damages
  • STAMPEDE is not liable for any loss of revenue, customers, or goodwill arising from your use of the platform
  • STAMPEDE is not responsible for reward fulfillment — this is entirely the Brand's responsibility

9. Termination

9.1 By You

You may terminate this Agreement at any time by cancelling your subscription as described in Section 2.3.

9.2 By STAMPEDE

  • We may suspend or terminate your account immediately if you breach this Agreement
  • We may suspend your account if payment is overdue beyond the grace period
  • We may terminate with 30 days' notice for any reason

9.3 Effect of Termination

  • Upon termination, your customers' earned and unexpired rewards will remain accessible for 30 days
  • Your data will be retained for 90 days, then anonymized
  • Sections 3.3 (Platform Data Rights), 7 (IP), and 8 (Limitation of Liability) survive termination

10. Amendments

We may amend these Terms with 30 days' notice via email or platform notification. Continued use after the notice period constitutes acceptance. Material changes will be highlighted.

11. Governing Law and Disputes

This Agreement is governed by the laws of the jurisdiction in which STAMPEDE AI PTE. LTD. is incorporated (Singapore), unless local mandatory consumer protection or data protection laws in your jurisdiction require otherwise. Disputes shall first be resolved through good faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of the jurisdiction specified in the Jurisdiction-Specific Terms below.

12. Jurisdiction-Specific Terms

STAMPEDE AI PTE. LTD. is incorporated in Singapore. The following additional terms apply based on your location:

  • Singapore: Personal data is protected under the Personal Data Protection Act 2012 (PDPA). Disputes are subject to Singapore courts.
  • Indonesia: Personal data is protected under UU ITE and Government Regulation No. 71 of 2019. Local consumer protection laws apply.
  • European Union / EEA: Personal data is protected under the General Data Protection Regulation (GDPR). You have additional rights including the right to erasure and data portability.
  • All other jurisdictions: The laws of Singapore apply unless local mandatory consumer protection or data protection laws override specific provisions.

13. Entire Agreement

This Agreement, together with the Privacy Policy and any order forms or invoices, constitutes the entire agreement between you and STAMPEDE regarding the platform. It supersedes all prior agreements and understandings.
